LULOP SERVICES

  • Lulop.com is a virtual marketplace on the WorldWideWeb for members (VideoReporters and MediaClients) to sell and buy videonews by uploading and downloading files online.
  • The VideoReporter remains at all times the owner of the full copyright of videos hosted on lulop.com and the MediaClient can only purchase a non-exclusive license to use the video in compliance with wathever restriction the Videoreporter may attach to it.
  • The VideoReporters remains at all times fully responsible for the content he/she uploads on the site and its accuracy, integrity, quality and legality.
  • While Lulop.com cannot guarantee the legality, accuracy, integrity and quality of the information hosted on its website, it will make every effort to ensure the quality and transparency of its aggregation processes and technologies and to make the contentās source reliability the most visible and assessible.
  • Lulop.com retains the right to prescreen, through its moderators and administrators, the videos uploaded on the site and refuse or delete all the files which constitute a violation of this agreement or a breach of any of lulop.comās policies, or simply go against its stated mission of quality distribution channel for time sensitive news content.
  • Lulop.com has the right to make all changes to its website that it deems necessary. Likewise lulop.com - through its moderators and administrators - retains the right to manage and terminate without notice all the memberships which violates this agreement or any of its policies.

RELATIONSHIPS OF THE PARTIES
  • Transactions taking place on the lulop.com site are made directly between the VideoReporters (the seller) and MediaClients (the buyer).
  • Lulop.com and its members act independently in commercial transactions: i.e. lulop.com holds no agency, employer/employee, franchisor/franchisee, partnership or joint venture relationship with its members as a consequence of this Agreement.

COMMISSIONS
  • Lulop.com charges a 33% commission fee on each and every video sale which is concluded. Lulop.com collects the video price from the MediaClient and automatically deduct that fee (and taxes where applicable) and credit the balance to the VideoReporter.
  • There is no charge when joining lulop.com and receiving free server space. Lulop.com is entitled to change the size of free server space and to charge for any extra amount of space explicitily requested by the VideoReporter.

VIDEREPORTERTS REPRESENTATIONS AND OBLIGATIONS
  • Anyone is elegibile to join lulop.com as a VideReporter. Any files uploaded must be uploaded with the sole intention of making it available for online previewing and distribution, according to lulop.com policies and its mission of being a quality distribution channel for videonews. Lulop.com retains the right to delete all videos which are left - disabled - without notice or compensation.
  • As a VideoReporter you may not misrepresent your identity or affiliations in any way. You are solely responsible for maintaning the confidentiality of your user Id and password and for all content posted using it, and you must immediately notify lulop.com if you become aware of any loss or thefth or unauthorized use of it.
As a VideoReporter:
  1. you must be the owner of the copyright of the video you post, or legally represent the owner;
  2. you must not misrepresent the nature of the content you post;
  3. you must not violate or infringe any rights (notably privacy) of third parties;
  4. you must comply, in posting your content, with the law and regulations under which you are bound;
  5. If not differently stated, you must pay any and all the taxes attributable to the sale and lulop.com will not be liable with respect to any of such taxes.

MEDIACLIENTS OBLIGATIONS AND RIGHTS
  • As a MediaClient you will be deemed to have purchased only a non-exclusive license to use the video, only for your onw benefit, in the channels, formats, programs and websites designated at the time of registration. You will have the right to make only one copy of the purchased video only for back-up or archival purposes. You may not make other copies or disseminate the copies to any third-parties by any means (digital or analog).
  • All intellectual property rights will remain the property at all times of the VideoReporter. Any breach of this condition will automatically terminate the MediaClientās right to use the video and as a member.

TERMINATION
  • This agreement will continue on a mutual-at-will basis. Either party may terminate this agreement by sending notice of termination to the other party. Both parties expressly waive any and all claims against the other for any such termination.

RIGHT TO BLOCK, REMOVE, RECLASSIFY AND RECATEGORIZE VIDEOS
  • Lulop.com hereby reserves the right to remove, reclassify, recategorize, and block access to any particular Content at any time at its sole discretion. Lulop.com will not be liable to any Member for any such action. Should any Content breach this agreement or any relevant law, Lulop.com shall be entitled to remove such content without notice or compensation. It is the Members sole responsibility to maintain backup copies of any Content that is posted on the Site.

LIMITATION ON LIABILITY
  • Lulop.com supplies the service on "as is" basis. It makes no warranties of whatsoever nature as to the availability of the service and to the quality of the content available on the site.
  • Lulop.com will not be liable to Members for any damages of whatsoever nature, arising out of or in connection with this Agreement, the Site, Content, or Transactions. The Members indemnify Lulop.com (and its officers, directors, agents, and employees) from and against any loss, cost or expense (including reasonable attorneys' fees) attributable to:
  1. any breach of such Members obligations, representations, and warranties under this Agreement; and
  2. any claims against Lulop.com by third parties relating in any way to the Content or Transactions of such Member.

GENERAL PROVISIONS
  • This Agreement and the relationship between you and Lulop.com will be governed by the laws of Italy without regard to any conflict of law provisions.
